Terms of Service

These Terms of Service (“Terms”) govern your use of the Mavrick Slack application and related services (the “Service”) provided by NLVL Inc. (“Mavrick,” “we,” “us,” or “our”). By installing or using the Service, you agree to these Terms.

1. The Service

Mavrick is an AI-powered Slack application that connects to your third-party business tools (ad accounts, CRMs, payment processors, and more) and executes actions on your behalf in response to natural language commands. The Service operates within Slack and requires a valid Slack workspace.

2. Accounts and access

You must have a valid Slack workspace to use the Service. By installing Mavrick, you represent that you have the authority to authorize the Service to act within your workspace and, for each integration you connect, to act on behalf of the accounts you authorize.

You are responsible for all commands issued by users in your workspace. If a user commands Mavrick to take an action (e.g., pause a campaign, shift a budget), and you approve that action, you are responsible for the consequence of that action on your third-party accounts. Mavrick is a tool that executes instructions — it does not independently decide to take actions without your approval.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any platform’s terms of service
• Attempt to reverse-engineer, decompile, or extract the source code of the Service
• Use the Service to access or manipulate accounts you do not have authorization to manage
• Circumvent usage limits or interfere with the operation of the Service
• Resell or sublicense access to the Service without our written consent

4. Integrations and third-party accounts

When you connect a third-party service (Meta Ads, Google Ads, Stripe, HubSpot, etc.), you authorize Mavrick to make API calls on your behalf using the OAuth credentials you provide. You are solely responsible for ensuring you have the right to authorize such access, and for all actions taken through those credentials. Mavrick is not responsible for actions taken on third-party platforms that result from commands you or your team issued.

Third-party integrations may have usage limits, rate limits, or policy restrictions. Mavrick will make reasonable efforts to respect these limits but cannot guarantee uninterrupted access to third-party services.

5. Plans, billing, and payment

The Service is offered on a subscription basis. Current plans and pricing are available at getmavrick.com/pricing. All prices are in USD.

Free plan allowances are provided for evaluation purposes. We reserve the right to adjust free plan limits with reasonable notice. Paid plans are billed monthly in advance. Subscriptions renew automatically unless cancelled before the renewal date.

You may cancel your subscription at any time from the dashboard. Cancellations take effect at the end of the current billing period — you retain access through that date. We do not provide refunds for partial months except as required by law.

6. Intellectual property

The Service, including all software, design, and content created by us, is owned by NLVL Inc. and protected by copyright, trademark, and other laws. These Terms do not grant you any ownership interest in the Service.

Any data you input, reports generated from your data, and outputs produced on your behalf belong to you. We claim no ownership over your business data or the outputs generated from it.

7. Confidentiality

Each party agrees to protect the other’s confidential information with at least the same care it uses for its own, and not to disclose such information to third parties without consent except as required by law. Your business data, third-party credentials, and operational information are treated as confidential by Mavrick.

8. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL ALWAYS BE ACCURATE.

You are responsible for verifying the accuracy of any outputs before acting on them, especially for financial or business-critical decisions. Mavrick is a tool to accelerate your work — not a substitute for your judgment.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAVRICK’S LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.

10. Indemnification

You agree to indemnify and hold harmless NLVL Inc. and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or actions taken on your connected third-party accounts.

11. Term and termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 7 days of notice. You may terminate at any time by uninstalling the Service from your Slack workspace and cancelling your subscription.

Upon termination, we will delete your workspace data within 30 days, except as required for legal or billing records.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law provisions. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated with at least 14 days’ notice via email to workspace administrators. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
